STANDING CHAPTER BOARD RESOLUTION NO. 01
GUIDELINES FOR CHAPTER OFFICERS’ RESIGNATION
July 25, 2024
WHEREAS, the Chapter has experienced significant disruptions due to the actions of officers who resigned during the previous fiscal year.
WHEREAS, it is necessary to establish clear guidelines and penalties for officers who resign from their position to prevent similar issues in the future.
WHEREAS, this resolution serves as a reminder to those who have resigned and to inform current and future officers of the expectations and consequences related to resignation considering their oath the officer have taken as a sign of commitment.
Resolved, that the following guidelines for chapter officers are hereby adopted:
- Notification of Resignation
- Officers must provide a written notice of resignation to the Board of Directors at least Two (2) months prior to their intended resignation date.
- The notice must include a valid reason for resignation and the proposed effective date.
- Officers must sign a confidentiality and non-disclosure agreement, ensuring that they will not disclose any sensitive or proprietary information of the chapter to unauthorized individuals or entities after their resignation.
- Transition of Duties
- Resigned officers are required to facilitate a smooth transition of their duties and responsibilities to their successors or interim officers.
- This includes, but is not limited to, handling over documents, files, passwords, and any other relevant materials.
- Penalties for Non-Compliance
- Officers who resign without providing the required notice may forfeit any outstanding benefits and obligations.
- Failure to properly transition duties may result in the officer being ineligible for future leadership positions and voting rights within the chapter for the period of three (3) years.
- Any Financial or operational disruption caused by the officer’s abrupt resignation may be subject to further investigations and penalties as determined by the Board of Directors to be reasonable.
- Reminder of Previous Issues
- This resolution serves as a reminder of the disruptions caused by resigned officers in the previous fiscal year.
- All officers are reminded of the oath they have taken, their commitment to the chapter and the importance of a responsible transition to maintain the chapter’s stability and operations.
- Exceptions and Special Circumstances
- The Board of Directors reserves the right to waive or adjust these guidelines and penalties in cases of extenuating circumstances, such as personal emergencies or health issues.
- Requests for exceptions must be submitted in writing and will be reviewed on a case-by-case basis.
EFFECTIVE DATE:
These guidelines and penalties shall take effect immediately upon adoption of this resolution.
Resolved, that a copy of this resolution be communicated to all current and future chapter officers and members of United Architects of the Philippines, Davao Chapter.
Resolved, further that the officers’ position should not be taken lightly nor carelessly discharged.
Resolved further, that all other resolutions or parts of resolution in conflict with this resolution are hereby repealed or modified accordingly.
RATIFIED and APPROVED by the general membership this 25th day of July 2024, by the Board of Directors, during the 1st General Membership Meeting of the UAP Davao Chapter held at Air Prosystems Inc., RBDB & Sons Building, Bacaca, Davao City.
