STANDING CHAPTER BOARD RESOLUTION NO. 05

DELINEATION OF RESOLUTION AND ITS EFFECTIVITY

September 26, 2024

WHEREAS, the Chapter aims to establish clear guidelines on the classification and effectiveness of resolutions passed by the Board and the General Membership;

WHEREAS, it is necessary to define the types of resolutions and their corresponding durations and conditions for amendments or modifications to ensure consistency and clarity in the Chapter’s governance;

NOW, THEREFORE, BE IT RESOLVED, that the UAP Davao Chapter hereby adopts the following classifications and guidelines for the effectivity of resolutions:

1. Standing Chapter Resolution
   1. Definition: Resolution ratified by the General Membership, approved and seconded. Designed to address ongoing needs and policies that are expected to remain relevant indefinitely. Often documented in organizational bylaws, policy manuals or standing rules.
   2. Effectivity: Perpetual, remaining in effect until formally amended or modified
   3. Amendments/Modifications: Can only be altered through a subsequent resolution ratified by the General Membership following the same process of approval and seconding.
   4. Example:
      1. Policies regarding meeting procedures, membership dues, standard operating procedures, and other foundational governance matters.
      2. General guidelines for conduct, ethics, or recuring activities within the organization
2. Regular Board Resolution
   1. Definition: Resolutions presented, approved and seconded by the General Membership. Address day-to-day decisions and operations, often limited in scope and duration, requiring regular review and renewal
   2. Effectivity: Effective within a fiscal year from the date of approval.
   3. Amendments/Modifications: Automatically expires at the end of the fiscal year unless renewed or extended by a new resolution.
   4. Example:
      1. Annual Conference Planning Committee for Fiscal Year
      2. Community Outreach Programs or Corporate Social Responsibility
3. Special Resolution
   1. Definition: Resolutions presented, approved and seconded by the General Membership for a specific event.
   2. Effectivity: Effective only for the duration of specified events.
   3. Amendments/Modifications: Automatically expires after the event has concluded.
   4. Example:
      1. Annual Induction Ceremony
      2. Specific Fundraising Campaign such as Defining Spaces

RESOLVED, that a copy of this resolution be communicated to all current and future chapter officers and members of United Architects of the Philippines, Davao Chapter.

RESOLVED FURTHER, that all other resolutions or parts of resolution in conflict with this resolution are hereby repealed or modified accordingly.

RATIFIED and APPROVED by the general membership this 26TH day of September 2024, during the 3rd General Membership Meeting of the UAP Davao Chapter held at 6th Floor Star Hotel, Mabini St., Poblacion, Davao City.
